Property Sourcing Agreement.
This agreement ("Agreement") is made between the Property Sourcing Agent ("Agent") and the Client ("Client") on the date of signing below. By signing this Agreement, the Client agrees to the following terms and conditions related to the sourcing of a property by the Agent.
## 1. Fee Agreement
1.1 The Client agrees to pay a non-refundable sourcing fee of £2,000 ("Fee") to the Agent to access the details of the sourced property.
1.2 The Fee must be paid in full prior to receiving any information about the property, including but not limited to location, address, or details of the seller.
1.3 If the Client decides to withdraw from the purchase of the property after accessing the details, 50% of the Fee will be refunded.
1.4 If the seller withdraws from the transaction for any reason, the Client will receive a full refund of the Fee.
## 2. Non-Circumvention Clause
2.1 The Client agrees not to contact the property seller directly under any circumstances.
2.2 Any attempt by the Client to bypass the Agent and negotiate directly with the seller will result in forfeiture of the entire Fee and may lead to legal action.
2.3 This clause remains in effect for a period of 12 months from the date of this Agreement.
## 3. Property Sourcing Process (Scotland)
3.1 The Client acknowledges that property transactions in Scotland are governed by Scots Law and are subject to the conclusion of formal missives.
3.2 The Agent will provide details of the sourced property after the Fee is paid, but the Client understands that the purchase is subject to successful conclusion of missives with the seller’s solicitor.
3.3 The Agent is not responsible for any failure to conclude missives or delays caused by either party.
## 4. Liability
4.1 The Agent acts solely as an intermediary in sourcing the property and is not responsible for any disputes arising between the Client and the seller.
4.2 The Client acknowledges that the Agent does not provide legal, financial, or property condition advice and recommends seeking professional advice before proceeding with the purchase.
## 5. Confidentiality
5.1 The Client agrees to keep all property details and any information provided by the Agent confidential.
5.2 Sharing this information with third parties without prior written consent from the Agent is strictly prohibited.
## 6. Governing Law
6.1 This Agreement is governed by the laws of Scotland and any disputes arising from it shall be subject to the exclusive jurisdiction of Scottish courts.
## 7. Acceptance of Terms
By signing below, the Client confirms they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
